My Client Appointment Software Application - User Agreement

 

This User Agreement (the "Agreement") is a legally binding contract between you (the "User") and My Client Appointment (the "Company") regarding the use of the "My Client Appointment" software application (the "Application"). By using the Application, you agree to be bound by the terms and conditions set forth in this Agreement.

1. Acceptance of Terms

By accessing or using the Application, you explicitly acknowledge and agree to comply with and be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you are not permitted to use the application, please do not use the Application.

2. Use of the Application

2.1. Eligibility: The Application is exclusively designed for use by financial advisors and professionals who are duly licensed or authorized to provide financial advice and services.

2.2. User Account: To access and utilize certain features of the Application, you will be required to create a user account. You are solely responsible for maintaining the security and confidentiality of your account information, including your username and password.

2.3. Compliance: You are required to adhere to all applicable laws and regulations, including but not limited to financial industry regulations and data protection laws, while using the Application.

3. Privacy and Data Security

3.1. Data Collection: My Client Appointment may collect, and store personal information and data as described in detail in its Privacy Policy (see below). By using the Application, you explicitly consent to My Client Appointment's data collection and processing practices.

3.2. Data Security: My Client Appointment is committed to taking reasonable measures to safeguard your data. However, you acknowledge and understand that no system can be completely secure, and My Client Appointment cannot guarantee the absolute security of your data.

3.3. Ownership of User Data: You retain ownership of all data, information, and content that you upload or transmit through the Application. My Client Appointment will not claim ownership of any user-generated data, and you grant My Client Appointment the necessary rights and licenses to use, store, and process such data solely for the purpose of providing the Application's services.

4. Intellectual Property

4.1. Ownership: The Application, including all associated intellectual property rights, is the exclusive property of My Client Appointment. You are expressly prohibited from reproducing, distributing, reverse engineering, or creating derivative works based on the Application without the prior written consent of My Client Appointment.

4.2. Feedback: My Client Appointment welcomes feedback, suggestions, or ideas regarding the Application. By providing feedback, you grant My Client Appointment a non-exclusive, royalty-free, worldwide, irrevocable license to use, reproduce, modify, and distribute such feedback.

5. Termination

5.1 My Client Appointment may terminate: My Client Appointment reserves the right to terminate or suspend your access to the Application at its discretion for any reason and without prior notice. User may be terminated if you violate any terms of this Agreement or engage in improper or unauthorized use of the Application. You will still maintain ownership of your data and may request an electronic file of the data.

5.2 User may terminate: User may also terminate this agreement at any time for any reason and request client data to be exported into a file.

5.3 User right to Export Data: Upon termination by My Client Appointment or by you the user; all client data will continue to be owned by user and may be exported to an electronic file for user to retain for their use.

5.4 Electronic File Download: The type of electronic file downloaded/delivered to user will be at the discretion of My Client Appointment and will be delivered in a timely manner.

6. Warranty and Limitation of Liability

6.1 Warranty: The Application is provided "as-is" and "as available." We do not make any warranties or representations regarding the Application's performance, reliability, or fitness for a particular purpose. You use the Application at your own risk.

6.2 Limitation of Liability: To the maximum extent permitted by applicable law, My Client Appointment shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses resulting from:

Our maximum liability under this agreement shall not exceed the amount paid by you, if any, for the Application.

7. Governing Law and Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of Nebraska. Both parties agree to make their best efforts to resolve any disputes. Any unresolved disputes arising under or in connection with this Agreement shall be resolved through the Nebraska court system.

8. Changes to the Agreement

My Client Appointment reserves the right to modify or revise this Agreement at any time. Notice of such modifications will be provided within the Application or via email. Your continued use of the Application after such modifications constitutes your acceptance of the updated Agreement.
